Terms of Service

These terms govern your use of electron.plus and the sale of products by Electron Plus Instruments Limited ("Electron Plus", "we", "us") - full company information is at the end of these terms. Orders fulfilled in the United States are sold by Electron Plus Instruments LLC (Texas); where that entity is the seller, its terms and the US governing-law section apply.

1. These terms

By placing an order you agree to these terms. No other terms apply unless we agree them in writing. The version in force is the one published when you order.

2. Orders and contract formation

Your order is an offer to buy. A contract forms only when we send an email confirming dispatch (not the order-acknowledgement email). We may refuse or cancel any order - including where the price or description is wrong, stock is unavailable, payment fails or fraud is suspected, or export controls or sanctions apply - and will refund any payment taken for a cancelled order.

3. Prices and payment

The price you pay depends on where your order ships. UK orders are priced in GBP inclusive of UK VAT (UK customers can view ex-VAT prices using the header toggle). US orders are sold by Electron Plus Instruments LLC and priced in US dollars; no US sales tax is collected at checkout at this time - where applicable, use tax may be your responsibility. Orders to the rest of the world are priced in GBP, zero-rated for UK VAT as exports; import duty and local taxes are the recipient's responsibility (clause 4). Prices exclude delivery, shown separately before you pay. Payment is taken at checkout via our payment processor (Stripe); we do not store full card numbers. If a price is obviously incorrect we are not obliged to honour it and will tell you before dispatch.

4. Delivery, risk and title

Delivery terms and estimates are on Shipping and are not guarantees. Risk in the goods passes to you on delivery. Title passes to you only when we have received payment in full. For international orders, import duties and taxes are the recipient's responsibility unless the order confirmation states otherwise.

5. Specifications, calibration and software

Published specifications are typical performance figures; actual performance for your unit is recorded on the calibration certificate supplied with it. Instruments ship calibrated against reference standards that are themselves calibrated by UKAS-accredited laboratories (Electron Plus is not itself a UKAS-accredited laboratory). Software and firmware we supply are licensed, not sold - a non-exclusive, non-transferable licence for use with Electron Plus instruments only. We may update software and firmware over time.

6. Cancellation and returns

Your cancellation and return rights, including the consumer 14-day right to cancel and how faulty goods are handled, are set out on Returns and Warranty, which form part of these terms.

7. Consumers

If you are buying as a consumer, nothing in these terms affects your statutory rights, including under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013. Where these terms conflict with your statutory rights, your statutory rights prevail.

8. Business customers

If you are buying in the course of a business: the consumer cancellation right does not apply; you confirm you have authority to bind your organisation; purchase-order terms you send do not apply unless we accept them in writing; title passes only on full payment and we may recover unpaid goods; and the liability limits in clause 10 apply to the fullest extent permitted for business-to-business sales.

9. Export control, sanctions and end-use

Our instruments and the technology in them may be subject to UK export-control law (and US export-control law for orders fulfilled by the US entity). By ordering you confirm that you will comply with applicable export controls and sanctions, that you are not a restricted or sanctioned party, and that you will not export, re-export or divert the goods to an embargoed destination or for a prohibited end-use. We may require end-use/end-user information and may decline or delay an order to meet these obligations.

10. Limitation of liability

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be limited or excluded by law (including your statutory rights as a consumer).

Subject to that: we are not liable for loss of profit, loss of business, loss of data, or any indirect or consequential loss; and our total liability arising from or in connection with any order is limited to the price paid for the goods in that order. We are not liable for losses arising from use of an instrument outside its published specifications or intended use, or from measurement results or decisions you make based on them - you are responsible for verifying that an instrument is fit for your application.

11. Intellectual property

All content on electron.plus, and the design, software and documentation of our instruments, is owned by or licensed to us. You may not copy, reverse-engineer (except as permitted by law), or reproduce it except as needed to use the product normally.

12. Privacy

We process personal data as described in Privacy.

13. Force majeure

We are not liable for delay or failure to perform caused by events beyond our reasonable control, and will let you know and may extend delivery times or, if the delay is substantial, cancel and refund.

14. General

If any clause is found unenforceable, the rest stand. A delay in enforcing these terms is not a waiver. You may not transfer your rights under a contract with us without our consent.

15. Governing law and jurisdiction

Sales by Electron Plus Instruments Limited and use of this website are governed by the laws of England and Wales, subject to the exclusive jurisdiction of the English courts (consumers may also have the right to bring proceedings in their own jurisdiction). Sales by Electron Plus Instruments LLC are governed by the laws of the State of Texas, USA, and you agree to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.
